GENERAL PROVISIONS

These Terms and Conditions (hereinafter referred to as the "Terms and Conditions") constitute an agreement between HEALTHY LONGLIFE, MB, legal entity code 306026453, registered office address J. Franko g. 14, Vilnius, 08431 Lithuania (hereinafter referred to as the "Seller") and you, whereby the Seller will provide you with the opportunity to purchase the goods (hereinafter referred to as "the Goods") offered in http://www.celltriagen.com online shop (hereinafter referred to as the "E-Shop").

You have the right to purchase the Goods only if you are able to enter into a binding contract with the Seller under applicable law and only if you comply with these Terms and Conditions and applicable law. If you are under 18 years of age, you may only purchase the Goods with the consent of your parents or other legal representatives. By placing an order for Goods, you confirm that you are 18 years of age or older or have the consent of your parents or other legal representatives.

PURCHASE OF GOODS

When you visit the E-Store and select the Goods, a shopping cart is created based on that selection.

Once the Shopping Cart has been created, you must enter the data necessary for delivery of the selected Goods. Please make sure that the details you have provided are correct and that the Goods you are ordering are in accordance with your preferences. You have the opportunity to correct errors, if any, before confirming your order. The data you provide will be processed for the purposes and in the manner set out in this Privacy Policy.

You agree that by placing an order in the E-Shop, you are obliged to pay the price for the Goods as stated in the order. The price of the Goods as set out in the E-Shop and in the order includes all taxes, but does not include the delivery charge for the Goods, which you will be required to pay in addition (unless otherwise stated in the E-Shop). Prices in the E-Shop and on the Order are quoted in Euros.

You can pay for the Goods by the following methods.

Payment must be made immediately after the order is placed.

Once you have confirmed your order, the Seller receives all information about it. The order shall be deemed to have been placed from the moment it is received by the Seller. At the same time, a contract shall be deemed to have been concluded between you and the Seller. However, the Seller shall only be bound by such contract from the moment the Seller receives confirmation of payment for the Goods from the payment service provider.

Upon placing an order, an email will be sent to the email address you have provided, stating the Goods ordered and the details you have provided.

Upon receipt of notification that you have made payment for the Goods ordered, the Seller undertakes to fulfil your order.

CHARACTERISTICS AND QUALITY OF THE GOODS

The characteristics of the Goods are set out in the E-shop under the description of each Good. The Seller shall endeavour to ensure that the Goods comply with the legal requirements and are fit for their intended use.

By placing an order, you acknowledge that you are aware of and understand that the Goods listed in the E-Shop may not match the actual size, shape or colour of the Goods in colour, shape or other parameters due to the characteristics or settings of the monitor or other device you are using. The Seller does not warrant or guarantee that the colour, shape or other parameters of the Goods will be identical to the image displayed on the E-Shop or to the image that you see. Such differences will not be considered as defects in the Goods.

The Seller undertakes to deliver the Goods which correspond to the information specified in the description of the Goods on the E-shop. The Seller also undertakes to provide you with the range and quantity of Goods specified in the order, but shall not be liable in the event that the range or quantity of Goods transmitted is not accurate due to an incorrect specification made by you in the order submitted to the Seller.

DELIVERY OF GOODS

When ordering the Goods, you must choose the method of delivery of the Goods and specify the delivery address of the Goods. Delivery can be made by courier, courier, self-service terminals.

Please note that the delivery or collection times indicated are approximate. Although we always endeavour to fulfil your order as quickly as possible, sometimes it may take longer to prepare your order due to the high volume of orders or the availability of delivery service providers. The seller always informs you of the status of the delivery, please follow this information. Once the parcel has been dispatched, you can track it using the parcel number in the delivery service provider's system.

In the event that you notice upon receipt of the Goods that the shipment does not contain the Goods ordered, please inform the Seller immediately.

The Goods shall be delivered packed in a manner appropriate to their nature to ensure that the Goods are fit for their intended use.

EXCHANGE OR RETURN OF GOODS

Withdrawal within 14 days (for consumers only)

If you are purchasing from the E-Store as a consumer (i.e. a natural person acting in connection with his/her business, trade, craft or profession for purposes other than his/her own (consumer purposes)), you have the right to return any Goods purchased from the E-Store within 14 (fourteen) calendar days from the day on which you received the Goods. You may do so without giving any reason (i.e. by exercising your right to withdraw from a distance contract under Lithuanian and European Union law).

If you withdraw from the contract, when you return the Goods, they must be unused, labelled and in their original packaging, undamaged and in good condition.

To exercise this right, you must notify the Seller by email and attach proof of purchase no later than 14 (fourteen) calendar days after receipt of the Goods. You can use the sample return notification form provided here.

If you decide to withdraw from the Contract, you must send the Goods back to the Seller at J. Franko g. 14, Vilnius, 08431 Lithuania, without delay and in any event no later than 14 (fourteen) calendar days from the day on which you notified the Seller of the return by email. The time limit will not be breached if you have sent the Goods before the expiry of the 14 (fourteen) day period. The cost of returning the Goods to the Seller shall be borne by you.

If you withdraw from the Contract, the Seller undertakes to refund to the bank account specified by you all monies paid by you for the return of the Goods and their delivery to you no later than 14 (fourteen) calendar days from the date on which you notify the Seller of the return by e-mail, but not earlier than the date on which the Seller receives the Goods (unless the Seller, at its sole discretion, decides not to wait for the Goods to be returned).

Wholesalers and other buyers who purchase from the E-Store for non-consumer purposes shall not be entitled to withdraw from the Contract unless otherwise expressly agreed in writing by the Seller.

Goods of defective quality

If the Goods purchased in the E-shop are of inadequate quality, you have the right, within the procedure and time limits provided by law, to request that the Seller rectify the defects in the Goods free of charge, replace the inadequate Goods with Goods of the correct quality, reduce the price accordingly or return the Goods to us and we will refund the money you have paid for them.

If you believe that the Goods you have purchased from the E-Shop are not of satisfactory quality and you have identified a defect in the Goods, you must notify the Seller of this and of your preferred method of resolution by email. When notifying the Seller of a defective Goods, please provide a detailed description of where and when the defect occurred and attach photographs of the Goods and the defect and any other relevant information to assist in identifying the defect. You can use the sample form for defective Goods provided here.

If you return the Goods because they are not of satisfactory quality, the Seller undertakes to replace the Goods of unsatisfactory quality with suitable Goods at its own expense or to refund to the bank account specified by you all money paid for the Goods, their delivery to you and their return, no later than within 14 (fourteen) days of receipt of the Goods.

INTELLECTUAL PROPERTY

The Goods are marked with trademarks and other signs which belong to the Seller and/or other persons and are protected by law. All intellectual property rights in the Goods and their individual parts are also owned by the Seller and/or other persons.

The trademarks and logos used in the E-Shop, the domain name, the E-Shop itself and the website on which it is hosted, and all individual elements thereof, including texts, photographs, drawings and all materials contained in the E-Shop and the website, the presentation, image and design of any page of the E-Shop or the website, and all Intellectual Property Rights therein, are the exclusive property of the Seller and/or other persons. You undertake not to copy, modify or otherwise use these intellectual property items without the express written consent of the rights holder.

DISCLAIMER

The Seller's liability for the quality and delivery of the Goods is set out in applicable law.

You must provide the Seller with all correct and complete information requested. You are responsible for providing the correct delivery address for the Goods.

You are responsible for the security of your username, password or any other data enabling you to log in to the E-Shop. However, if you become aware of any unauthorised use of your username and password, please contact the Seller immediately.

CHANGES AND TERMINATION

The Seller may modify these Terms from time to time. The latest (current) version of the Terms and Conditions will always be visible and accessible in the E-Shop. Before confirming your order, you must familiarize yourself with the then current version of the Terms and Conditions. The version of the Terms and Conditions in force at the time of confirmation of such order will apply to each order.

The Seller will have the right to discontinue (terminate) the operation of the E-Shop at any time. Such termination shall not affect the Contracts for the sale of Goods then in force.

OTHER TERMS

These Terms and Conditions and any contract for the sale and purchase of Goods are made and shall be construed in accordance with the laws of the Republic of Lithuania.


Any disputes, disagreements or claims arising out of or in connection with these Terms and Conditions or any separate contract for the sale of Goods, as well as questions of breach, termination or validity of these Terms and Conditions, shall be settled in the courts of the Republic of Lithuania in accordance with the procedure established by the laws of the Republic of Lithuania. The State Consumer Rights Protection Service (address: Vilniaus g. 25, LT-01402 Vilnius, tel. (8 5) 262 6751, e-mail: tarnyba@vvtat.lt; website address: http://www.vvtat.lt), or http://ec.europa.eu/odr/ shall be the competent entity for out-of-court settlement of consumer disputes arising out of the present Rules.

All warnings or other notices relating to the Goods, these Terms and Conditions will be given by e-mail (when sent to the Seller - to the e-mail address specified at the beginning of these Terms and Conditions, and when sent to you - to the e-mail address provided at the time of ordering the Goods).

If any provision of these Terms and Conditions is or becomes wholly or partly invalid, the validity of the remaining provisions shall not be affected.
